Supplied Technologies Terms of Use and Billing Agreement

This Billing Agreement ("Agreement") governs the billing practices between Supplied Technologies B.V. ("Supplied", "we", "our", or "us"), with head offices registered in the Netherlands with KVK 93146620, and the customer ("Customer", "you", or "your") for the use of our services. By enabling and saving selected services, you agree to the terms outlined below.

1. Billing Cycle:

You agree to be billed on the first working day of every month for the Services you have subscribed to, using the payment method provided by you unless otherwise stated in a separate contract. All payments are due immediately upon receipt of the invoice unless specified otherwise in a separate contract.

2. Indicative Pricing:

The prices displayed for our Services are indicative only and subject to final calculation based on actual usage. The prices reflect charges based on seller volumes and may vary depending on your actual usage. The full pricing calcaulation can be found in the info dialog next to the Total price of your selected services. The final amount can be reconcilled monthly with your invoice.

3. Volume-Based Pricing & Verification:

For all products, Supplied employs a volume-based pricing model. The final charge will reflect theactual consumption of records or units during the billing period in addition to included volumes in the base package price (where relevant).

• Verification products: The cost units used for the variable portion of the amount charged will not exceed the stated maximum amounts depending on volume.
• All other products: The cost units used for the variable portion of the amount charged may exceedthe stated maximum amounts depending on volume.

4. Products Covered:

This billing structure applies to the following products provided by Supplied:

• Self-Verification App
• Batch Upload Verifications
• DAC7 Compliance Service
• White Label Solutions
• CRM Services
• Onboarding Services

The pricing for these products is based on seller volumes and provided at the minimum rate unless otherwise negotiated.

5. Payment Terms:

Payment must be made using the saved payment method. If there is an issue with the payment method, you are responsible for updating it to avoid service interruption.

For multi year agreements and use of select promo codes, payment is due in advance for the entire term of the agreement. If services are terminated before the end of the term, the client will be refunded 50% of their unused term

6. Price Changes and Amendments:

Supplied reserves the right to amend the prices of Services based on changes in volume, usage, or other factors. Any changes will be communicated in advance and apply to future billing periods.

7. Termination:

For all annual agreements and subscriptions, termination must be given with at least 60 days notice

For monthly and per usage agreements termination can be provided at any time with immediate effect. The client will be billed for the services used and unpaid up until the termination date

8. Governing Law and Dispute Resolution:

This Agreement is governed by the laws of the Netherlands. Any disputes will be resolved in the competent courts of the Netherlands.
